EQT Ventures invests 240 MILLION in BIMobject, the digital challenger to the global construction industry

The board of BIMobject AB has, with the support of the authorization from the annual general meeting in 2018, decided to implement a directed new share issue of approximately SEK 240 million to EQT Ventures fund («EQT Ventures»). The issue includes 7 757 588 new shares equivalent to 15 per cent of the share capital before the rights issue. The subscription price is sek 31 per share. After completion of the rights issue will EQT Ventures owning approximately 13% of BIMobject. Hjalmar Winbladh, Partner at EQT Partners and leading EQT Ventures advisory team, referred to take place in the board of directors. In connection with the new share issue is also carried out certain changes in ownership of BIMobject.

The new issue is made without preferential rights for the shareholders. The subscription price corresponds to the BIMobject-the share’s closing price on 9 July 2018.

Notice of an extraordinary general meeting with a proposal for a decision on the election of board members referred to be issued in the beginning of August 2018 the annual general meeting are to be held later in August.

Through the directed new share issue increases the number of shares in the BIMobject 7 757 588 shares from 51 717 254 shares to the 59 474 842 shares and the share capital will increase by 170 666,94 sek 1 137 779,59 to sek 1 308 446,52 crowns, resulting in a andelsmässig dilution for BIMobjects existing shareholders of approximately sek 13 per cent after the private placement.

Procedural Labs AB (Stefan Larsson’s companies), subject to customary conditions, committed not to dispose of shares in the BIMobject (p.k. lock-up) for a period that ends 24 months after the issue.
